OlympuSAT, Inc. (“OlympuSAT”) welcomes you. Subject to the following terms and conditions (the “Terms of Use”), OlympuSAT hereby consents to your nonexclusive use of the enclosed trademarks, logos and images (the “Materials”) to be used in connection with the promotion of OlympuSAT and the programs and services it provides to you in accordance with the Network Affiliation Agreement (including the Terms and Conditions thereof incorporated therein by reference) (the “Agreement”) executed by you and OlympuSAT. These Terms of Use govern your access to and use of password protected areas on this web site (the “Service”). In the event of a conflict between the terms and conditions of the Agreement and the Terms of Use, the Agreement shall apply. By using this Service and the Materials provided hereon, you are consenting to be bound by and become a party to these Terms of Use.

You shall have no rights to use any of the Materials or the Service except as expressly provided in the Agreement or these Terms of Use. You shall include proper copyright, trademark and other proprietary notices and legends as contained on the Service, at all times, in conjunction with any of the Materials. You shall not use the Materials in any manner other than as authorized by the Agreement and these Terms of Use.
All rights in the product names, company names, trade names, logos and designs of all OlympuSAT or third-party products or services, whether or not appearing in large print or with the trademark symbol, belong exclusively to OlympuSAT or their respective owners, and are protected from reproduction, imitation, dilution or confusing or misleading uses under national and international trademark and copyright laws. The use or misuse of these trademarks or any materials, except as permitted herein, is expressly prohibited and nothing stated or implied on this Service confers on you any license or right under any patent or trademark of OlympuSAT or any third party. You shall not use the Materials or the Service in any manner which will adversely affect OlympuSAT's or such third party's ownership and control of and rights in and to the Materials.
You shall comply with all applicable law in connection with your use of the Service and the Materials, and such further limitations as may be set forth in any written or on-screen notice from OlympuSAT. As a condition of your use of the Service, you warrant that you will not use the Service for any purpose that is unlawful or prohibited by the Agreement or these Terms of Use.
You acknowledge that the context in which the Materials or the Service, or any portion thereof, are used will not be derogatory to or critical of OlympuSAT, its business and operations, any of its affiliates or the business and operations of those affiliates, or video entertainment industry in general.
Without limiting the foregoing, you agree not to: ( a ) use any incomplete, false or inaccurate biographical information or other information for purposes of registering as a user of the Service, or for purposes of registering for any promotions offered through the Service; ( b ) delete or revise any material or other information of any other user or OlympuSAT; or ( c ) use any device, software or routine to interfere or attempt to interfere with the proper working of the Service or any activity being conducted on this web site.
You further agree not to violate or attempt to violate the security of the Service, including, without limitation: ( a ) accessing data not intended for you or logging into a server or account that you are not authorized to access; ( b ) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures; ( c ) attempting to interfere with service to any user, host or network; or ( d ) giving any other person access to the Service using your account name, password or other information. Violations of system or network security may result in civil or criminal liability. OlympuSAT will investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations.
You shall immediately notify OlympuSAT if you learn of or suspect ( a ) any loss or theft of your username or password, or ( b ) any unauthorized use of your username or password or of the Service. In the event of such loss, theft, or unauthorized use, OlympuSAT may impose on you, at OlympuSAT's sole discretion, additional security obligations. In the event any unauthorized person obtains access to the Service as a result of any act or omission by you, you shall use your best efforts to ascertain the source and manner of acquisition and shall fully and promptly brief OlympuSAT. You shall otherwise cooperate and assist in any investigation relating to any such unauthorized access.
OlympuSAT reserves the right to review the use of its Service and to terminate your ability to use the Service at any time without notice, in its sole discretion. OlympuSAT also reserves the right to disclose any information about you necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part.
The Service and the Materials are provided “as is.” OlympuSAT makes no representation or warranty of any kind whatsoever to you or any other person relating in any way to the Service, including any part thereof, or any content, including the Materials, that may be accessible directly or indirectly through the Service. OlympuSAT disclaims to the maximum extent permitted by law any and all (a) warranties or merchantability or fitness for a particular purpose; (b) warranties against infringement or any third party intellectual property or proprietary rights; (c) warranties relating to delays, interruptions, errors or omissions in the service, or any part thereof; and (d) warranties otherwise relating to performance, nonperformance or other acts or omissions by OlympuSAT or any third party. Further, and without limiting the generality of any of the foregoing, there is no warranty that the service will meet your needs or requirements or the needs or requirements of any other person.
In no event shall OlympuSAT or its officers, directors or employees be liable for lost sales, profits or any incidental, indirect, consequential or punitive damages arising through its actions, inaction or neglect because of or in connection with the Service. Because some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, OlympuSAT's liability in such jurisdictions shall be limited to the extent permitted by law.
Upon a request by OlympuSAT, you agree to defend, indemnify and hold harmless OlympuSAT and its subsidiaries, affiliates, officers, agents, co-branders or other partners and employees from all liabilities, claims and expenses, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Service or the Materials, your violation of the Agreement or the Terms of Use or your violation of any rights of any other person.
This Agreement is governed by the laws of the State of Florida, located in the United States of America. You hereby consent to the exclusive jurisdiction and venue of the Circuit Court of Palm Beach County, Florida, and the United States District Court for the Southern District of Florida, in all disputes arising out of or relating to the use the Service. Use of the Service is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms of Use, including without limitation this paragraph.
Unless otherwise specified herein, the Agreement and the Terms of Use constitute the entire agreement between you and OlympuSAT with respect to your use of the Service and the Materials.
OlympuSAT reserves the right to amend these Terms of Use at any time. You will receive an e-mail notification of any such revisions.
The failure of OlympuSAT to enforce any provisions of these Terms of Use or respond to a breach by you or other parties shall not in any way waive its right to enforce subsequently any provisions set forth herein or in the Agreement or to act with respect to similar breaches.
Any information supplied by any employee or agent of OlympuSAT, whether by telephone, e-mail, letter, facsimile or other form of communication, is intended solely as general guidance on the use of the Service, and does not constitute legal, tax, accounting or other professional advice. Individual situations and state laws vary and users are encouraged to obtain appropriate advice from qualified professionals in the applicable jurisdictions.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and OlympuSAT as a result of these Terms of Use or your use of this Service. Nothing contained in these Terms of Use is in derogation of OlympuSAT's right to comply with governmental, court and law enforcement requests or requirements relating to your use of this Service or information provided to or gathered by OlympuSAT with respect to such use. A printed version of these Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
